1. Acceptance

These Terms constitute a binding agreement between you and Cadence Systems LLC, a North Carolina LLC. By using cadencesystems.io and associated services, you agree to these Terms.

2. Service Description

Cadence is a B2B revenue execution platform providing CRM, sales automation, AI analytics, and fund operator tools for private equity firms and portfolio companies.

4. Subscription and Payment

The Service is subscription-based, billed monthly or annually in USD. Fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days notice.

5. Acceptable Use

You agree not to: violate applicable laws, transmit spam or malicious code, attempt unauthorized access, reverse engineer the Service, or resell access without written consent.

6. Your Data

You retain all rights to data you input. Cadence will not use your data for any purpose beyond providing the Service without your consent.

7. Intellectual Property

The Service and all Cadence-created content is owned by Cadence Systems LLC. These Terms grant only a limited license to use the Service.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9. Limitation of Liability

CADENCE'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

10. Termination

Either party may terminate at any time. We may suspend your account immediately for violation of these Terms.

11. Governing Law

These Terms are governed by North Carolina law. Disputes shall be resolved through binding arbitration in Charlotte, NC.
